These Terms of Service ("Terms") govern your access to and use of the Gripmode platform and website at gripmode.app (the "Service"), operated by Gripmode ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you must not use the Service.
2. Account Terms
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials. Gripmode will not be liable for any loss or damage arising from unauthorized access to your account.
- You must notify us immediately at support@gripmode.app if you become aware of any unauthorized use of your account.
- You may not use the Service for any illegal or unauthorized purpose.
- One person or organization may maintain multiple accounts only if each account is tied to a separate location or business entity.
3. Service Description
Gripmode provides a cloud-based operational management platform designed for martial arts schools. The Service includes, depending on your plan: operations dashboards, scheduling, team management, payroll processing, inventory tracking, retention alerts, analytics, CRM, and multi-location management tools.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will notify active customers of material changes via email at least 30 days in advance.
4. Payment Terms
- Paid plans are billed monthly in advance. All fees are quoted in US dollars.
- Payment is due on the billing date. If payment fails, we will attempt to charge the payment method on file up to three times before suspending access.
- All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
- We reserve the right to change pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle.
- Free trial periods, where offered, do not require a credit card. At the end of the trial, you must select a paid plan to continue using the Service.
5. Cancellation and Termination
- You may cancel your account at any time through your account settings or by contacting support@gripmode.app.
- Upon cancellation, your access continues until the end of your current billing period. No partial refunds are provided for unused time.
- After cancellation, your data will be available for export for 30 days, after which it will be permanently deleted.
- We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding fees after notice.
6. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content, is owned by Gripmode and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
You retain all rights to the data you enter into the Service. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service. We will not use your data for any other purpose without your explicit consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Gripmode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
- Our total cumulative liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to Gripmode in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless Gripmode, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Orange County, Florida.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. For significant changes, we will also provide notice via email to active account holders at least 30 days before the changes take effect.
Your continued use of the Service after revised Terms become effective constitutes your acceptance of the changes.
